LifeCell Skincare Affiliate Program Terms of Service
Effective Date: Thursday, March 20th 2025.
By joining the LifeCell Skincare Affiliate Program (“Program”), you agree to comply with the following Terms of Service (“Terms”). These Terms constitute a binding agreement between you (“Affiliate”) and LifeCell Skincare (“Company”). Please read them carefully before participating in the Program.

1. Enrollment in the Program
1.1. To join the Program, you must submit a complete application through our affiliate portal. We reserve the right to accept or reject any application at our sole discretion without providing a reason.
1.2. By applying, you confirm that you are at least 18 years old and legally authorized to enter into this agreement.

2. Affiliate Responsibilities
2.1. Affiliates are responsible for promoting LifeCell products in an honest and ethical manner, ensuring that all promotional materials are accurate and compliant with applicable advertising laws and regulations.
2.2. Affiliates must not engage in any misleading or deceptive marketing practices, including false claims about product effectiveness or health benefits.
2.3. Affiliates are prohibited from bidding on LifeCell-branded keywords in paid search campaigns or using LifeCell trademarks in domain names or social media handles without prior written consent.
2.4. Affiliates may only use approved promotional materials provided by the Company or seek prior written approval for custom materials.

3. Commissions and Payments
3.1. Affiliates will earn a commission based on the percentage of sales generated through their unique affiliate link. The commission structure is outlined in the affiliate portal and may be updated at the Company’s discretion with prior notice.
3.2. Commissions are paid once a minimum threshold of $100 is reached. Payments are processed on a monthly basis via [PayPal or Check].
3.3. In the event that a customer returns a product or a sale is canceled, the corresponding commission may be deducted from future payments, primarily in instances where such return or cancellation occurs within the first 21 days of purchase, or where there is evidence of excessive or abnormal return activity. The Company acknowledges that occasional returns are a normal aspect of business and generally outside the Affiliate’s control. As such, commissions will typically not be reversed for transactions canceled or refunded after 21–30 days, provided the Affiliate is generating legitimate and good-faith sales.
3.4. Affiliates are responsible for any applicable taxes and fees associated with commission payments.

4. Prohibited Activities
4.1. Affiliates must not engage in the following activities:
• Spamming or sending unsolicited communications.
• Engaging in cookie stuffing or misleading referral tactics.
• Promoting LifeCell products on illegal or offensive websites.
• Using false or misleading advertising techniques.
• Purchasing LifeCell products through their own affiliate links to generate commissions.
4.2. Affiliates found engaging in prohibited activities will be subject to immediate termination from the Program and forfeiture of unpaid commissions.

5. Intellectual Property
5.1. LifeCell grants Affiliates a limited, non-exclusive, non-transferable license to use LifeCell trademarks, logos, and promotional materials solely for the purpose of promoting LifeCell products.
5.2. Affiliates must not alter, modify, or misrepresent any LifeCell trademarks or branding without prior written consent.
5.3. Upon termination of this agreement, all rights to use LifeCell intellectual property will immediately cease.

6. Termination
6.1. Either party may terminate this agreement at any time, with or without cause, by providing written notice.
6.2. Upon termination, all outstanding commissions earned prior to the termination date will be paid according to the standard payment schedule.
6.3. LifeCell reserves the right to terminate any affiliate account immediately for breach of these Terms or for conduct deemed harmful to the Company’s reputation.

7. Confidentiality
7.1. Any non-public information shared with Affiliates in connection with the Program must be treated as confidential and not disclosed to third parties without prior written consent from LifeCell.
7.2. This confidentiality obligation will survive termination of the agreement.

8. Limitation of Liability
8.1. LifeCell is not responsible for any indirect, incidental, or consequential damages arising from participation in the Program.
8.2. LifeCell’s total liability under this agreement is limited to the total amount of commissions earned by the Affiliate in the preceding six (6) months.

9. Independent Contractor Relationship
9.1. Affiliates are independent contractors and not employees or agents of LifeCell.
9.2. Affiliates have no authority to bind LifeCell to any agreement or obligation.

10. Governing Law
10.1. These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of law principles.
10.2. Any dispute arising from or related to this agreement will be resolved exclusively in the state or federal courts located in Florida.

11. Modification of Terms
11.1. LifeCell reserves the right to modify these Terms at any time. Affiliates will be notified of any changes, and continued participation in the Program constitutes acceptance of the updated Terms.

By signing up for the LifeCell Skincare Affiliate Program, you acknowledge that you have read, understood, and agree to these Terms of Service.
